AI companies are paying up to $2M for company data

Developers of AI models license the everyday records of real businesses: process documents, support tickets, CRM notes, project files and years of team email and chat. It is a license, not a sale of your company, so you keep the data and keep using it. Check in three clicks whether your business can apply.

Data license agreement analyzer

Data licensing contracts are new to most business owners, and a few words such as "perpetual" or "sublicense" can give away far more than you intended. Paste the agreement you have been sent and the analyzer checks it for sixteen clauses that matter to a seller, quotes the sentence it found and flags terms worth pushing back on. Everything runs in your browser, so the contract never leaves your computer.

Red flags and missing essentials first. The quote is the first sentence that matched.

How the analyzer reads a contract

The analyzer looks for the clauses a seller needs in any data license, using the words lawyers typically use for each. It then checks the matching sentence for risky terms.

It reads words, not meaning. Treat a result as a question to ask, not a legal conclusion.

    1. Split into sentences

The text is broken into sentences and clause headings so each finding can be quoted.

    2. Look for sixteen clauses

Each clause has a list of phrases, for example "terminate" for termination or "delete", "destroy" or "return" near "data" for deletion.

    3. Check for risky wording

Matched sentences are tested for terms such as perpetual, irrevocable, any purpose, may sublicense or unlimited liability.

    4. Score the draft

Red flags and missing essentials cost 12 points each, negotiation points 5 each, starting from 100.

      score = 100 − 12 × red − 5 × negotiate

    Questions about data license agreements

    Is my agreement uploaded anywhere?

No. The analysis runs in your browser with plain pattern matching. The text you paste is not sent to our server, not stored and not added to the page link, so the "Copy link" button never shares the contract itself.

Can this tool replace a lawyer?

No. It reads for keywords and phrases, so it can miss a clause written in unusual wording or flag one that is actually fine in context. Use it to prepare for a review: it shows what to ask about and what seems to be missing, so your time with a lawyer is shorter and better focused.

Which clauses matter most in a data license?

For the seller, the scope of permitted use, whether the license is exclusive, how long it lasts, what happens to the data when it ends and how personal data is handled. Watch closely for words like perpetual, irrevocable and the right to sublicense, which give the buyer far more than a training license needs.

What does "perpetual and irrevocable" mean in a data license?

It means the buyer can keep using your data forever and you can never take the permission back, even if they break the contract. Some buyers ask for it on models already trained, which can be reasonable. Applied to the raw data itself it removes almost all of your control, so it should come with a much higher price or be removed.

Should the buyer keep models trained on my data after the license ends?

This is common, because a trained model cannot easily forget what it learned. What matters is that the raw data is deleted or returned, that the buyer cannot sell your data on, and that the price reflects the permanent benefit the model keeps.

How is the seller-friendliness score calculated?

It starts at 100. Each red flag or missing essential clause takes off 12 points and each point to negotiate takes off 5. A score above 80 means the draft covers the basics; below 60 means it needs real changes before you sign.
